Terms of Service.
These terms apply to anyone who signs up for or uses VisitorLead. Plain English first, with the legal text below.
1. Acceptance
By creating an account or using the Service you agree to these Terms. If you are accepting on behalf of a company, you confirm you have the authority to bind it.
2. The Service
VisitorLead is a web-analytics, session-replay, and visitor-identification product. It is not a database product, a credit-reporting tool, or financial / legal advice. We provide infrastructure; the decisions you make with the output are yours.
3. Account
You sign in with Google or Microsoft via our managed identity provider — we do not store passwords. You are responsible for activity in your workspace and for keeping your sign-in credentials secure. Notify us promptly of any unauthorized access.
4. Acceptable use
You agree not to use the Service to:
- Identify individuals for harassment, discrimination, stalking, or surveillance.
- Build a redistributable database of identified visitors or resell the output.
- Make eligibility decisions covered by the Fair Credit Reporting Act (credit, employment, insurance, housing).
- Send spam, violate CAN-SPAM, CASL, TCPA, or similar marketing laws.
- Reverse engineer, scrape, or attempt to bypass any technical limit of the Service.
- Use the Service to compete with VisitorLead, or to build a substantially similar product.
We may suspend or terminate workspaces that violate this section. Egregious violations result in immediate termination without refund.
5. Customer data
You own the data your site sends us. We process it on your behalf under our Data Processing Addendum (available on request). You grant us a limited license to host, process, and transmit it solely to deliver the Service.
6. Plans, billing, and refunds
Plan, pricing, and overage details are on the pricing page. Key terms:
- A "match" is defined in our docs. The same person seen twice in one workspace is one match, not two.
- Subscriptions bill monthly or annually in advance. Annual plans get 2 months free (~17% off).
- Overages, if enabled, bill at the per-match rate listed on your plan. You may turn overages off or set a hard cap in Settings → Billing.
- No free trial. A card is required at signup.
- Cancel any time from Settings → Billing. Service continues until the end of the current paid period.
- Refunds: prorated refund of any unused, prepaid annual term on cancellation. Monthly plans are non-refundable.
7. Service availability
We operate the Service on a best-effort basis. Starter and Growth plans do not carry a contractual uptime SLA. Enterprise contracts include a negotiated SLA with service credits. Status updates are posted at our public status page (post-launch).
8. Intellectual property
We own VisitorLead, the software, brand, and underlying technology. You own your content and your customer data. If you send us feedback or feature requests, you grant us a perpetual, royalty-free license to use it without obligation.
9. Confidentiality
Each party will protect the other's non-public information with the same care it uses for its own, and at minimum with reasonable care. Confidentiality obligations survive termination.
10. Disclaimers
The Service is provided "as is" and "as available." We disclaim all implied warranties to the maximum extent permitted by law. We do not warrant that any specific visitor will be identified, that the Service will be uninterrupted, or that data will be free of all errors.
11. Limitation of liability
Our aggregate liability for any claim relating to the Service will not exceed the greater of (a) US $1,000 or (b) the fees you paid us in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential, or punitive damages.
12. Indemnification
Each party will defend and indemnify the other against third-party claims arising from its own breach of these Terms, its negligence, or its misuse of the other's data. Standard notice, control of defense, and cooperation requirements apply.
13. Termination
Either party may terminate for material breach uncured after 30 days' notice (10 days for non-payment). Either party may terminate for convenience at any time; paid subscriptions run to the end of the current period. On termination, we delete customer data within 30 days, except where retention is legally required.
14. Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware. Each party waives any objection to venue or jurisdiction there.
15. Changes to these Terms
We will email account owners at least 30 days before any material change takes effect. Continued use after the effective date constitutes acceptance. If you do not agree to a change, you may cancel before it takes effect for a prorated refund of any unused, prepaid term.
